Terms and Conditions
- Online Course. The Fundamentals of Construction 3D Printing online course, hereinafter referred to as the “Online Course,” is one of a series of courses provided by Apis Cor Inc., a Delaware corporation (“Apis Cor”). By enrolling for or accessing the Online Course, you (also referred to herein as a “participant”) are agreeing to be bound by these terms and conditions (these “Terms”). The Online Course provides general information about construction 3D printing technology, but does not grant any status, license, or certification to operate Apis Cor equipment or any other equipment, consult on Apis Cor technology or any other technology, or represent Apis Cor or any other company. Upon completion of the Online Course, participants who elected to take the final exam will have the opportunity to earn a certificate acknowledging completion of the Online Course (the “Certificate of Completion”), provided the participant achieved a passing score on the exam. This Certificate of Completion does NOT grant any status, license, or certification to operate Apis Cor equipment or any other equipment, consult on Apis Cor technology or any other technology, or represent Apis Cor or any other company.
- Period of Access: Participants will be granted access to the Online Course for a period of three (3) years from the date of enrollment.
- Prerequisite Course: The Online Course “Fundamentals of Construction 3D Printing” is a prerequisite for subsequent certifications provided by Apis Cor.
- Enrollment Fee: Full payment of the Enrollment Fee of $1,499.00 plus tax is due at the time of registration. Enrollment Fee is subject to change, discounts may apply. Apis Cor will enroll the participant and grant access to the Online Course within seven (7) days after the full enrollment fee has been received. The enrollment fee shall grant access to the Online Course and related content. The Enrollment Fee grants access to only one (1) individual participant, and does not cover multiple individuals. Organizations who wish to grant access to multiple individuals must individually enroll each participant and pay the Enrollment Fee for each participant.
- Third-Party Platform and Materials: Apis Cor e-Learning system is hosted by Thinkific Labs Inc. (“on Thinkific”), a third party software platform available at https://www.thinkific.com. As a condition to accessing the Online Course, you may be asked to register an account with Thinkific, and to provide basic account information. This may require you to accept additional terms and conditions, privacy policies, or other terms provided by Thinkific. Apis Cor is not responsible for the Thinkific platform, its contents, functionality, availability, methods of data collection, any information you provide to Thinkific, any action by Thinkific, or your use of the Thinkific platform. It is possible that the Online Course may be temporarily offline and unavailable to participants when occurrences including, but not limited to, system updates, system maintenance, and/or system migration are required. Registration and payment processing is done on such platform. Apis Cor retains the right to migrate the Online Course to a different e-Learning system host provider. In the event this occurs, participants will be granted access to the Online Course on the new e-Learning system host provider within a reasonable amount of time for the remaining Period of Access. The Online Course may contain or link to materials provided by third-parties. Apis Cor is not responsible for their content and such links are not an indication of an endorsement. Apis Cor makes no representations or warranties for any third-party materials. Apis Cor assumes no liability for any views, comments, communications, pictures, or videos that are provided by such third parties. Nothing in the Online Course shall be construed as granting any license or other rights to any copyright, trademark, patent, or other property of Thinkific or any third party, whether by implication, laches, estoppel, or explicit grant.
- Refund Policy: Refund is available up to fifteen (15) days after the date of purchase. After this 15-day refund period, refunds will not be granted for any reason. Apis Cor may take up to sixty (60) days to process refund requests from the date the refund is requested. The refunded amount may not exceed the purchase price of the Online Course. Once a refund is requested, participants will lose access to the Online Course and its contents. If the participant requests a refund after receiving a Certificate of Completion, the Certificate of Completion will be revoked.
- Course Cancellation: Apis Cor has rights to cancel, pause, or close access to the Online Course at any time. This action may be needed to update or change the content and materials of the Online Course, in the event of host migration, if a refund request is submitted, or for other reasons.
- Course Transfer: Each participant will receive their own access credentials which are your responsibility to preserve and secure and which cannot be transferred, assigned, or sold by you to any third party. You acknowledge and agree that Apis Cor may receive your email, name, address, location, phone number, company name, and other information provided by you, and Apis Cor shall keep all such information in accordance with the Apis Cor privacy policy available at apis-cor.thinkific.com/pages/privacy which is incorporated herein by reference.
- Intellectual and Proprietary Property: Apis Cor exclusively owns or controls all of the Online Course, all curriculum, course materials, text, audio, video, images, trademarks, service marks, trade dress, inventions, ideas, trade secrets, the source code, the HTML code, the "look and feel" of the Online Course, its color combinations, layout, and all other graphical elements, and all related content and materials provided with the Online Course, and all intellectual property rights in the foregoing. The participant shall not receive any right, title, or interest in or to any of the foregoing. No part of any of the foregoing may be reproduced, stored in a retrieval system, copied, broadcasted, or transmitted in any form or by any means, electronic, mechanical, photocopying, recording or otherwise, or translated into any language, without our prior written consent. Apis Cor may take legal actions against participants if they breach this condition or use the content without Apis Cor written consent. Apis Cor will be entitled to, in addition to all monetary and other remedies at law, injunctive or other equitable relief without the need to post a bond, in order to enforce its rights hereunder. The Thinkific platform, and all content provided by Thinkific , and all intellectual property rights therein are the property of Thinkific and subject to all relevant Thinkific terms and conditions.
- Disclaimer of Warranties: PARTICIPANTS ACCESS THE ONLINE COURSE AT HIS/HER/ITS OWN RISK. THE ONLINE COURSE AND ALL INFORMATION, MATERIALS, AND SERVICES PROVIDED BY ASIS COR ARE PROVIDED "AS IS" WITH APIS COR SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. WITHOUT LIMITING THE FOREGOING, APIS COR MAKES NO WARRANTY OF ANY KIND THAT THE ONLINE COURSE, OR ANY RESULTS OF THE USE THEREOF, WILL MEET A PARTICIPANT'S OR OTHER PERSONS' REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, ACHIEVE ANY INTENDED RESULT, BE COMPATIBLE OR WORK WITH ANY SOFTWARE, SYSTEMS, OR OTHER SERVICES, OR BE SECURE, ACCURATE, COMPLETE, FREE OF HARMFUL CODE OR ERROR FREE. PARTICIPANT’S USE OF THIRD PARTY PLATFORM THINKIFIC IS AT THE PARTICIPANT’S SOLE RISK AND ANY CONTENT THAT THE PARTICIPANT DOWNLOADS IS DOWNLOADED AT THE PARTICIPANT’S OWN DISCRETION AND RISK, AND THE PARTICIPANT IS SOLELY RESPONSIBLE FOR ANY DAMAGE TO THE PARTICIPANT’S COMPUTER SYSTEM, AND FOR ANY LOSS OF DATA THAT RESULTS FROM THE DOWNLOADING OF ANY SUCH CONTENT, INCLUDING ANY DAMAGES RESULTING FROM COMPUTER VIRUSES. THE THINKIFIC PLATFORM AND ALL OTHER THIRD-PARTY MATERIALS ARE PROVIDED "AS IS" AND ANY REPRESENTATION OR WARRANTY OF OR CONCERNING ANY OF THEM IS STRICTLY BETWEEN THE PARTICIPANT AND THE THIRD-PARTY OWNER OR DISTRIBUTOR OF SUCH THIRD-PARTY MATERIALS. IF YOU USE OR ACCESS THE ONLINE COURES OUTSIDE OF THE UNITED STATES, YOU DO SO AT YOUR OWN RISK AND ARE RESPONSIBLE FOR COMPLIANCE WITH THE LAWS AND REGULATIONS OF YOUR JURISDICTION AS WELL AS THESE TERMS.
- Limitation of Liability; Statute of Limitations: To the fullest extent permitted by law, Apis Cor has no liability to the participant whatsoever. This "Limitation of Liability" section applies regardless of the basis on which the participant is entitled to claim damages from Apis Cor, including but not limited to, breach of contract (even in the case of a fundamental breach) and tort (including, but not limited to, misrepresentation). This limitation of liability also applies to our subcontractors. Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to your use of the Online Course must be filed by you within one (1) year after such claim or cause of action arose or be forever barred.
- Course Materials and Certificate of Completion: Apis Cor is not a qualified financial advisor nor a legal advisor or professional adviser; as such, none of the information provided in this Online Course shall be construed as financial or legal advice. All information provided by Apis Cor in this Online Course is based on Apis Cor’s experience, sole believe, knowledge and judgments. Apis Cor does not warrant any particular result from completion of the Online Course. Apis Cor does not warrant that the information in the Online Course is accurate, complete or complies with any particular law or regulation. The Certificate of Completion only indicates completion of the Online Course, and cannot be used as proof of licensure, authorization, or certification by any governmental, administrative, industry, professional, or corporate body.
- Indemnification: To the fullest extent permitted by law, you shall defend, indemnify, and hold harmless Apis Cor from and against all claims arising from or in any way related to your use of the Online Course, the Thinkific platform, a violation by you of these Terms or any terms and conditions of Thinkific, or any other actions connected with your use of the Online Course, including any liability or expense, losses, damages (actual and consequential), suits, judgments, litigation costs and reasonable attorneys’ fees. Apis Cor will provide prompt written notice of any such claims, but failure to provide such notice will not release you from any of your obligations pursuant to this Section except to the extent that you are actually prejudiced by such failure.
- Governing Law; Jurisdiction: These Terms all matters regarding your use of the Online Course shall be governed by, construed in accordance with, and enforced under the laws of the State Florida, without regard to choice of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms will be instituted in the federal courts of the United States or the courts of the State of Florida in each case located in the city of Orlando and County of Orange, and you irrevocably submit to the jurisdiction of such courts in any such suit, action, or proceeding.
- Waiver and Severability: The failure to exercise or enforce any right or provision in these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be enforced to the fullest extent of the law, and all other provisions shall remain in full force and effect.
- Complete Agreement: These Terms, together with any revision, constitute the entire agreement between you and Apis Cor with respect to the Online Course, and supersedes any previous written or oral communication regarding use of the Online Course.
